3. Eligibility & Registration

• Age Requirement: You must be at least 18 years old to use our Services.

• Account Registration: To access certain features, you must create an account and provide accurate and current information.

• Account Security: You are responsible for maintaining the confidentiality of your account credentials and all activity under your account.

• Each user may register only one account. Multiple accounts may result in suspension.

• We reserve the right to suspend, disable, or terminate accounts for breach of these Terms or suspected fraudulent activity.

4. License & Permitted Use

Amador grants you a platform to help brands and ambassadors enter into mutually beneficial social commerce interactions, including trading digital assets in a UGC marketplace, participating in community forums, exchanging product review and feedback, creating advertising and marketing campaigns, and promoting unique discount codes or promotions.

You may not download, copy, save, edit, republish, sell, rent, redistribute, or use content for commercial purposes except as expressly permitted or purchased through the marketplace. You may not use the Services for unlawful, harmful, or fraudulent purposes.

5. Acceptable Use Policy

You agree not to damage, disable, overburden, impair, or interfere with our Services; harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate; submit false information; use the Services for obscene, immoral, unlawful, illegal, fraudulent, or harmful activity; transmit malware; conduct unauthorized data collection; use automated tools; or use data collected from the website for unsolicited marketing.

15. Non-Circumvention

For 12 months after identifying an Ambassador through the platform, you must use Amador exclusively to request, make, and receive all payments for campaigns involving that Ambassador.

16. Assignment

We may assign, transfer, or subcontract our rights and obligations under these Terms. You may not assign your rights without our prior written consent.

17. Severability & Waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. Failure to enforce any provision does not constitute a waiver of rights.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Amador regarding your use of the website and Services, superseding all prior agreements.

19. Termination

We may suspend or terminate your access to the website and Services at any time for breach of these Terms. Upon termination, all rights and licenses granted to you cease immediately. Any accrued rights or obligations survive termination.

20. Governing Law & Jurisdiction

These Terms are governed by the laws of New South Wales, Australia. Any disputes are subject to the exclusive jurisdiction of the courts of New South Wales.

21. Pricing & Payment

All prices exclude GST for Australian addresses. We reserve the right to change fees at any time without notice. Payments must be made online via PayPal or Stripe, and payment details may be stored by payment processors.

22. Refund Policy

Due to the digital nature of our products, refunds are not available except where required by law. You may cancel your subscription at any time and access will be revoked upon cancellation. No refunds will be issued after cancellation except as required by law.

23. Bonus Content

Any bonus content provided as part of a promotion is conditional upon continued active membership. If your membership lapses or is cancelled, access to bonuses is revoked.

24. Non-Payment by Clients

Ambassadors are paid only after Amador receives payment from brands. If a brand fails to pay, their account may be suspended or terminated. Overdue amounts accrue interest at 15% per annum, plus recovery costs.

25. User-Generated Content (UGC) Marketplace

Ambassadors must be at least 18 years old and submit only original content. Valid and accurate releases are required for assets featuring identifiable individuals or property. Submission of false or incomplete releases may result in immediate account termination.

26. Asset License

Upon purchase, brands receive a perpetual, worldwide, non-exclusive license to use the asset for commercial purposes. Amador and ambassadors retain all other rights. Amador may resell assets and grant licenses to other brands for marketing and advertising. Ambassadors are paid per unique license issued, subject to Amador receiving payment from the purchasing brand.

27. Acceptable Use of Purchased Assets

Purchased assets must not be used in any way that is pornographic, obscene, immoral, infringing, defamatory, libelous, or likely to bring any person or property depicted into disrepute. Prohibited uses include adult content, tobacco product advertisements, adult entertainment venues or dating services, political endorsements, unlawful contexts, or implications of illegal or immoral activity.

28. Restrictions on Use of Materials

Amador content may not be reproduced, distributed, or used for training or client distribution without written permission. Requests for permission can be sent to hello@amador.app.

29. Copyright & Intellectual Property

All content on the website is owned by Amador or its licensors and protected by copyright and trademark laws. You are granted a limited license for personal use only. No content may be copied, modified, distributed, or used for commercial purposes without written permission. Trademarks may not be used without express consent.

30. Submissions

Any feedback or suggestions provided to Amador become our exclusive property and may be used for any purpose without compensation or acknowledgment.
